When a REIT needs a lifeline, who gets to write the exit terms? This is Infrastructure Secondaries Daily. Today, a redemption squeeze meets a well-capitalized buyer—and the fine print matters. First up: Apollo and Starwood—and why the structure matters just as much as the headline. Propmodo writes:
Apollo Global Management will pay $1.02 billion for a 41.5% stake in a joint venture holding roughly 120 affordable housing properties owned by Starwood Real Estate Income Trust. SREIT will use the proceeds to pay down its credit facility, a move the company described as critical to improving liquidity and shareholder returns.
Apollo gets a 41.5% stake in roughly 120 affordable-housing properties for $1.02 billion. SREIT, meanwhile, is still restricting redemptions. The buyer came with capital. The seller needed to pay down a credit facility. Very different bargaining positions. The 7% IRR cap on Starwood’s buyback option is where I’d look closer. A cap only means something if we know the valuation date, the exercise dates, and how long Apollo gets paid. Otherwise, “7%” is just a tidy headline number. SREIT’s retail holders have lived with redemption limits for more than two years, followed by a full halt earlier this year. So yes, this keeps the properties from being dumped—but it also gives Apollo a structured seat at the table while existing investors wait. Keep the distinction clear: this is real estate. Affordable housing can have regulated income floors that resemble contracted cash flow, which may explain why Apollo accepted a capped return. But don’t carry that pricing logic into infrastructure marks without the same protections.
